Terms of Service

MakeLike Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and Bearsoft Group Ltd, a company incorporated in England & Wales (Company No. 14774267) with its registered office at 20 Pinnacle House, 4 Schooner Road, London, E16 2RE (“MakeLike”, “we”, “us”, “our”). 

By accessing or using the MakeLike website, applications, APIs, or related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. 

 

1. Eligibility and Account Registration 

1.1 You must be at least 16 years old to use the Service. We do not knowingly permit individuals under this age to create accounts. 

1.2 You agree to provide accurate, complete, and up-to-date information when creating an account and to keep such information current. 

1.3 You are responsible for maintaining the confidentiality and security of your account's credentials and for all activities that occur under your account. The Service does not issue or manage passwords. Authentication is performed via email-based sign-in links and/or third-party authentication providers. You are solely responsible for maintaining the security of the email accounts and third-party accounts used to access the Service. 

 

2. Social Authentication 

2.1 The Service may allow registration and login via third-party authentication providers (e.g. Google, Apple, Meta, TikTok). 

2.2 Your use of such third-party services is governed by their own terms and privacy policies. We are not responsible for the availability, security, or accuracy of third-party authentication services. 

 

3. Licence Grant and Acceptable Use 

3.1 Subject to these Terms, MakeLike grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purposes. 

3.2 You agree not to, and not to permit others to: 

(a) copy, modify, distribute, sell, lease, sublicense, or otherwise exploit any part of the Service, including its software, interfaces, or underlying systems, except as expressly permitted by these Terms 

(b) reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service, except to the extent such restriction is prohibited by law  

(c) use the Service in violation of any applicable laws or regulations 

(d) interfere with, disrupt, or attempt to gain unauthorised access to the integrity, security, or performance of the Service 

(e) upload, submit, or share content that is unlawful, infringing, defamatory, abusive, or otherwise harmful. 

3.3 For the avoidance of doubt, these restrictions do not apply to: 

(a) images or other content created by you using the Service, which you may use, distribute, and commercialise without royalty obligations to MakeLike; and 

(b) content that other users have made publicly available through the Service, which you may access, view, and share in accordance with the sharing features and permissions provided by the Service. 

 

4. User Content 

4.1 You retain ownership of any content you upload or submit to the Service (“User Content”). 

4.2 By submitting User Content, you grant MakeLike a worldwide, royalty-free, sublicensable licence to host, store, process, reproduce, and display such content solely for the purpose of operating, maintaining, improving, and providing the Service. 

4.3 You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe any third-party rights. 

4.4 Subject to applicable law, you may delete your User Content at any time using the features of the Service. Following deletion, such content will no longer be visible to you or other users through the Service, except that: 

(a) copies of such content may remain visible for a limited period where content has been cached or shared through technical processes outside of MakeLike’s direct control; and 

(b) residual copies may be retained for a limited period in backups or logs for legal, security, or operational purposes, after which they will be securely deleted in accordance with our data retention policies. 

 

5. Intellectual Property 

5.1 The Service, including all software, design, text, graphics, logos, and trademarks, is owned by or licensed to MakeLike and is protected by intellectual property laws. 

5.2 Except as expressly permitted, no rights are granted to you under these Terms. 

 

6. Paid Features 

6.1 Certain features of the Service require payment, including the purchase of usage-based credits and physical goods. Prices, applicable taxes, billing terms, and relevant conditions will be disclosed prior to purchase. 

Credits 

6.2 Credits are sold in predefined packs and grant access to specific paid features of the Service. Credits have no cash value, are non-transferable, and may not be redeemed for money. 

6.3 By purchasing credits, you acknowledge and agree that access to the associated digital services is made available immediately upon purchase, and you expressly request immediate performance of the digital service. To the extent permitted by law, this waives any statutory right to withdraw or cancel once performance has begun. 

6.4 Credits are consumed at the point they are used to access paid features of the Service. Consumed credits are non-refundable. 

6.5 Unused credits are non-refundable except where required by law. You are responsible for purchasing an appropriate quantity of credits based on your anticipated usage. 

6.6 Credits may expire after a period of time, as clearly disclosed at the point of purchase. Any such expiry period will be no shorter than 30 days from the date of purchase. Expired credits may not be refunded or reinstated. 

6.7 MakeLike may, at its sole discretion, issue refunds or account credits in exceptional circumstances, but is under no obligation to do so. 

Printed Goods 

6.8 Certain physical products offered through the Service are custom-made or printed to order by third-party fulfilment partners. 

6.9 Due to the customised nature of printed goods, orders for such products are final once placed and are non-refundable, except where: 
(a) the product contains a manufacturing or print defect; 
(b) the product differs materially from the approved proof or mockup shown at the time of purchase; 
(c) the product is lost in transit and confirmed as undelivered by the carrier. 

6.10 A digital proof or mockup of the printed item will be presented prior to purchase. By completing the order, you confirm that you have reviewed and approved the proof. 

6.11 Refunds or replacements for printed goods will be issued at MakeLike’s discretion and may require photographic or other evidence of the defect or issue. 

 

7. Termination and Suspension 

7.1 You may stop using the Service and close your account at any time. 

7.2 We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have breached these Terms, including (without limitation) where your use of the Service involves: 
(a) unlawful activity or the promotion of illegal acts; 
(b) harassment, abuse, hate speech, discrimination, or offensive behaviour directed toward other users or third parties; 
(c) content that is defamatory, threatening, or otherwise harmful; 
(d) misuse of the Service, including attempts to interfere with its security, integrity, or operation; or 
(e) any conduct that, in our reasonable judgment, exposes MakeLike or other users to legal, reputational, or operational risk. 

7.3 We may also suspend or terminate your access where required to do so by law, regulation, or a competent authority. 

7.4 Where feasible, we may provide you with an opportunity to appeal a suspension or termination decision by contacting support@makelike.art. Any appeal must include sufficient information to allow us to review the decision. Appeals are reviewed in good faith; however, all decisions remain at MakeLike’s sole discretion. 

7.5 Upon termination or suspension of your account for any reason, your licence to use the Service will immediately cease. 

7.6 If your account is terminated or suspended due to a breach of these Terms or for reasons set out in this Section, you will not be entitled to any refund for unused credits, subscriptions, or other prepaid amounts, except where required by law. 

7.7 Following termination or closure of your account, we will handle your personal data and User Content in accordance with our Privacy Policy. 

7.8 Subject to applicable law, upon account termination: 
(a) User Content associated with your account will no longer be accessible through the Service; 
(b) we may retain certain personal data and User Content for a limited period where required for legal, regulatory, security, fraud prevention, dispute resolution, or legitimate business purposes; and 
(c) residual copies of data may persist for a limited time in backups or logs before being securely deleted in accordance with our data retention practices. 

7.9 Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations, nor does it affect any rights or licences granted to MakeLike under these Terms that by their nature are intended to survive termination. 

8. AI and Generated Content 

8.1 The Service enables users to generate images and other content using artificial intelligence models and related technologies, including models provided by third-party service providers (“AI Model Providers”). 

8.2 Certain styles, presets, or transformations offered through the Service may be described as being “inspired by”, “in the style of”, or “reminiscent of” particular artistic styles, genres, or cultural references. These descriptions are used solely to convey general aesthetic characteristics. 

8.3 All such styles are unofficial and are not endorsed by, affiliated with, sponsored by, or associated with any third-party rightsholders. The Service does not reproduce, replicate, or derive from any specific copyrighted works, characters, trademarks, or proprietary designs. 

8.4 References to well-known styles, genres, or cultural works are descriptive only. All trademarks, names, and intellectual property rights remain the property of their respective owners. 

8.5 MakeLike does not guarantee that content generated using the Service will be free from third-party intellectual property claims. You are solely responsible for ensuring that your use, publication, distribution, or commercialisation of generated content complies with applicable laws and does not infringe the rights of any third party. 

8.6 The Service operates subject to the terms, acceptable use policies, and technical constraints of applicable AI Model Providers. As a result, certain prompts or requests may be refused, restricted, or fail to generate output. 

8.7 Where a generation request is rejected or fails due to restrictions or limitations imposed by an AI Model Provider, any credits consumed in connection with that request will be automatically and promptly returned to your credit balance. 

8.8 The Service is not intended to generate images depicting identifiable real individuals without appropriate rights or permissions. 

8.9 Content generated through the Service is produced using automated artificial intelligence systems. While MakeLike makes best-effort use of these systems, AI-generated outputs may be inaccurate, incomplete, unexpected, or fail to follow instructions precisely. 

8.10 Credits are consumed to cover the computational processing and execution of AI models in response to your request. The consumption of credits does not constitute a guarantee, warranty, or assurance regarding the accuracy, quality, suitability, or fidelity of any generated output. 

8.11 MakeLike does not guarantee that generated content will accurately reflect a selected style, prompt, or source image, nor that any representation of subjects within generated content will be accurate or suitable for any particular purpose. 

8.12 You acknowledge that AI-generated content should be reviewed prior to use and that you are solely responsible for any reliance on, publication of, or use of generated content. 

8.13 A failed or rejected request resulting from AI Model Provider restrictions will result in a credit refund as described above; however, dissatisfaction with the subjective quality of generated content does not constitute a failure of the Service. 

9. User Content Visibility 

9.1 The Service allows you to control the visibility of content you generate or upload, including by selecting privacy settings such as public, unlisted, or private. 

9.2 You may choose a default privacy setting for your content at the time of account registration. This default setting will be applied automatically to newly generated content, subject to any changes you make. 

9.3 You may modify the privacy settings of individual items of content at any time using the features of the Service. 

9.4 Public content may be visible to other users of the Service and may appear in social, discovery, or promotional features. Unlisted content is accessible only to individuals who possess the relevant link and is not displayed in public discovery features. Private content is accessible only to you. 

9.5 Where content is set to public or unlisted, you may also choose whether any associated source or reference images are visible alongside generated outputs. 

9.6 You are solely responsible for selecting appropriate privacy settings for your content and for controlling access to such content. MakeLike is not responsible for any access, use, or redistribution of content that occurs as a result of your chosen privacy settings. 

9.7 Once User Content has been made public or shared via an unlisted link, it may be copied, shared, indexed, or otherwise disseminated by third parties outside of MakeLike’s control. As a result, even if you later change the privacy settings of such content or delete it from the Service, MakeLike cannot guarantee that all copies of the content will be removed or made private. 

10. Content Moderation and Safety 

10.1 MakeLike maintains proportionate technical and organisational measures designed to reduce the risk of unlawful and harmful content being uploaded to, generated by, or shared through the Service. These measures include automated content moderation systems and post-generation review mechanisms. 

10.2 The Service uses automated moderation tools, including third-party moderation services, to assess uploaded content and generation requests for compliance with these Terms and applicable laws. Such systems are probabilistic and may not identify all unlawful or harmful content. 

10.3 As a result, MakeLike does not guarantee that content available through the Service will be free from unlawful, offensive, or otherwise harmful material. The presence of such content does not necessarily indicate a breach of these Terms or a failure of the Service. 

10.4 Content that is identified by moderation systems as potentially violating these Terms or applicable law may be restricted, rejected, removed, or deprioritised. Where a generation request is rejected prior to completion, any associated credits will be handled in accordance with these Terms. 

10.5 Users may report content they believe to be unlawful or in breach of these Terms using the reporting features provided within the Service or by contacting support@makelike.art. Reports are used as signals to inform moderation and enforcement decisions. 

10.6 MakeLike reviews reports and moderation signals on a risk-based and proportionate basis and may take appropriate action, including content removal, visibility restriction, account suspension, or termination, in accordance with these Terms. 

10.7 MakeLike may apply automated filtering, prioritisation, or additional review to content that is frequently reported or otherwise identified as higher risk. MakeLike is not required to take action on content unless required by law or these Terms. 

 

11. Disclaimers 

11.1 The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. 

11.2 We do not warrant that the Service will be uninterrupted, error-free, or secure. 

 

12. Limitation of Liability 

12.1 To the maximum extent permitted by law, MakeLike shall not be liable for any indirect, incidental, consequential, or punitive damages. 

12.2 Our total liability arising out of or relating to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim (or £100 if no fees were paid). 

 

13. Indemnification 

You agree to indemnify and hold harmless MakeLike from any claims, damages, losses, and expenses arising out of your use of the Service or violation of these Terms. 

 

14. Governing Law and Jurisdiction 

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction. 

 

15. Changes to These Terms 

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
